Overview

Welcome to Karma Commerce. The terms "we", "us" and "our" refer to Karma Commerce, based in Calgary, Alberta, Canada. Karma Commerce operates this website and sells Shopify themes and Shopify store services (the "Services"). Karma Commerce is powered by Shopify, which enables us to provide the Services to you.

These Terms of Service ("Terms"), together with our Privacy Policy and Refund Policy, describe your rights and responsibilities when you use the Services. By visiting the site or buying from us, you agree to these Terms. If you do not agree, please do not use the Services.

1. Eligibility and accounts

You must be at least the age of majority where you live to buy from us. You agree that the information you give us (email, billing details, store details) is correct and complete, and you are responsible for activity under your account and for keeping your login details safe.

2. What we sell

Shopify themes. Our themes are digital products: a theme file (.zip) plus the included guide and demo assets. They are delivered as a download right after payment. No physical product is shipped. To use a theme you need your own Shopify store and plan, which you buy from Shopify separately.

Launch Setup. A fixed-scope setup service for a theme bought from us. What it includes is listed on the product page at the time of purchase. We need the information and store access we ask for in your client portal to complete it.

Shopify store development (custom stores). Custom projects are quoted individually. The scope, price, timeline, payment schedule and revisions of a custom project are set out in the written proposal you approve in your client portal. Where that proposal differs from these Terms, the proposal applies to that project.

We describe our products as accurately as we can. Screens, colours and demo content can look different on your device and in your own store with your own content.

3. Theme license

When you buy a theme, you get a non-exclusive, non-transferable license to use it on one Shopify store that you own or run for a client. You may customise the theme as much as you like for that store.

You may not resell, share, sublicense, give away or redistribute the theme files (changed or unchanged), offer them as your own product, or use one license on more than one store. Each additional store needs its own license.

Demo images are included so your store looks complete from day one; you may use them in the licensed store. Fonts, apps and other third-party resources referenced by a theme are covered by their own licenses. All rights not granted here stay with Karma Commerce.

4. Orders, prices and payment

Placing an order is an offer to buy. Your order is accepted once payment is processed and you receive the confirmation email. We may decline or cancel an order, for example in case of a pricing error or suspected fraud; if we do, we refund any payment in full.

Prices are shown at checkout and may change at any time; the price you pay is the one in effect when you place the order. Taxes are added where required by law. Payments are processed by Shopify's payment providers; we never see or store your full card details.

5. Refunds

Refunds and cancellations are covered by our Refund Policy.

6. Updates and support

We may release updates to a theme. Support covers questions about installing and using the theme as delivered. It does not include custom code changes or problems caused by third-party apps or edits made by you or others; we can quote those separately.

7. Our content and your feedback

The website, its design, text, images, videos, logos and the themes themselves are owned by Karma Commerce or its licensors and are protected by copyright and other laws. If you send us ideas, reviews or feedback, you allow us to use them to improve and promote our Services, without any obligation to you.

8. Your content

When you send us content for a project (logos, product photos, text), you confirm that you have the right to use it and allow us to use it to deliver your project. You stay the owner of your content.

9. Third-party services

The Services link to and rely on third parties such as Shopify, payment providers and apps. We are not responsible for their services, prices or policies; please review their terms before using them.

10. Relationship with Shopify

Karma Commerce is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Karma Commerce. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Karma Commerce, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Karma Commerce.

11. Prohibited uses

You may use the Services for lawful purposes only. You may not break these Terms or the law, infringe anyone's rights, upload malicious code, scrape or copy the site, or try to get around its security.

12. Disclaimer

Except as expressly stated in these Terms or in your approved proposal, the Services and products are provided "as is" and "as available". We do not guarantee that a theme or store will produce any particular sales or business result, or that the Services will be uninterrupted or error-free. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

13. Limitation of liability

To the fullest extent permitted by law, Karma Commerce is not liable for indirect, incidental, special or consequential damages, including lost profits, revenue or data. Our total liability for any claim related to the Services is limited to the amount you paid us for the product or service the claim relates to.

14. Indemnification

You agree to indemnify and hold harmless Karma Commerce and Shopify from third-party claims arising from your breach of these Terms, your violation of any law or third-party rights, or content you provide to us.

15. Governing law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there. Nothing in these Terms limits rights you have under the consumer protection laws of the place where you live.

16. Changes

We may update these Terms from time to time. The current version is always on this page, with its date at the top. Orders are governed by the Terms in effect when they were placed.
